These Terms and Conditions (“Terms”) govern your use of the services provided by Sparqlees Limited (“Company”, “we”, “our”, or “us”). By engaging our services, you agree to be bound by these Terms.

1. Services

Sparqlees Limited provides quality assurance and software testing services including:

  • Web and mobile application testing
  • VR, AR, and XR software testing
  • QA consulting and process improvement
  • Software quality audits
  • QA training programmes
  • Development lifecycle support

2. Service Agreement

Each engagement will be governed by a separate Service Agreement that outlines specific deliverables, timelines, and costs. These Terms supplement and do not replace individual Service Agreements.

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant appropriate access to systems, applications, and documentation
  • Respond promptly to requests for information or clarification
  • Pay invoices according to agreed payment terms
  • Maintain confidentiality of any proprietary testing methodologies shared

4. Payment Terms

Payment terms will be specified in individual Service Agreements. Generally:

  • Invoices are payable within 30 days of receipt
  • Late payments may incur interest charges
  • Services may be suspended for overdue accounts
  • All prices are exclusive of VAT where applicable

5. Intellectual Property

All intellectual property rights in our testing methodologies, tools, and deliverables remain with Sparqlees Limited unless otherwise agreed in writing. Clients retain ownership of their applications and data.

6. Confidentiality

We maintain strict confidentiality regarding client information, applications, and business processes. Both parties agree to protect confidential information disclosed during the engagement.

7. Limitation of Liability

Our liability is limited to the fees paid for the specific services. We are not liable for indirect, consequential, or punitive damages. Our testing services do not guarantee that software will be error-free.

8. Termination

Either party may terminate services with written notice as specified in the Service Agreement. Termination does not affect payment obligations for services already provided.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
